4. Data and Intellectual Property

Our Intellectual Property

HighTempo retains ownership of our proprietary methodologies, AI models, scoring frameworks, and technology. The custom analysis and deliverables we create for you are licensed for your internal business use.

5. Payment Terms

Payment terms will be outlined in your service agreement. General terms include:

• Fees are due as specified in your agreement
• All fees are non-refundable unless otherwise stated
• We reserve the right to suspend services for non-payment
• Prices may be adjusted with 30 days notice for ongoing services

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This includes business data, methodologies, pricing, and strategic information.

Confidentiality obligations survive termination of services.

7. Limitation of Liability

To the maximum extent permitted by law:

• HighTempo provides services "as is" without warranties of any kind
• We do not guarantee specific sales outcomes or revenue results
• Our liability is limited to the fees paid for the services in question
• We are not liable for indirect, incidental, or consequential damages

Our services provide intelligence and recommendations; final business decisions remain your responsibility.

8. Indemnification

You agree to indemnify and hold harmless HighTempo from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

9. Termination

Either party may terminate services as specified in your service agreement. Upon termination:

• Outstanding fees become immediately due
• Your access to our platform and deliverables may be revoked
• We will delete your data upon request, subject to legal retention requirements
• Provisions regarding confidentiality, liability, and indemnification survive termination

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
